If you are looking to fit an engine into a kit that you are building, you'll need either a complete donor car (better option) or an engine with the v5 reg document from its donor.
If its a kit that has already been registered then it doesn't matter. Regarding engine choice, anything after 1993 registration will mean your kit has to have a catalytic converter fitted in the exhaust.
Do you have a copy of the BIVA manual? There was a downloadable draft version on the VOSA website. You will need this to make sure your car is built to the correct standard.
If you are looking for a 3.2 and gearbox, ancillaries etc, budget over £ 2k
Smart option is a 166 3.0 manual, complete car for a fair bit less.
Mudhut on this forum has a 164 24v 3.0 complete car up for sale at sensible money, had belts etc done too.
